Terms of service

Last updated

These terms are the agreement between you and Nohead (“we”) for the Nohead website, web app, API, CLI, SDKs and MCP server (the “service”). By signing in or using the API you accept them. Questions go to hello@nohead.io.

1. The beta

Nohead is in beta. We are building it in the open with early customers, so while the beta lasts:

  • The service is free. We will tell you by email before paid plans start, and nothing is charged unless an owner of your organization chooses a paid plan.
  • There is no uptime commitment or service level. We back up data and watch the service, but outages can happen.
  • Features, limits and the API can change. We follow the deprecation policy in our API documentation for the public API, and give notice before removing something you rely on wherever we can.

We will update these terms when the beta ends.

2. Accounts and organizations

You sign in with a code sent to your email address; the first sign-in creates your account. Keep access to that address secure, and keep the API keys you create secret: we treat what is done with your account or an API key as done by you or your organization.

Work happens in organizations. Whoever creates an organization is its owner and can invite others, assign roles and delete it. If you use Nohead for a company, you confirm you may accept these terms for it, and “you” includes that company. The service is meant for businesses and developers; you must be at least 16 to use it.

3. Your content

Everything you put into Nohead (schemas, records, files, webhooks and their history) stays yours. You give us permission to host, copy, process, index, transform (for example, resize images), back up and deliver it, only as needed to run the service for you and as you direct through it.

You are responsible for your content and for having the right to store and publish it. Image and file URLs you publish can be opened by anyone who has them, and images are cached by our content delivery network. If your content includes personal data about other people, you are the controller of that data and we process it on your behalf, as described in the privacy policy.

You can export your content at any time with the API or nohead export.

4. Acceptable use

Do not use Nohead to:

  • store or distribute anything illegal, including content that sexually exploits children, infringes others’ rights, or that you have no right to share;
  • host malware, phishing pages or their assets, or send spam;
  • use the image and file delivery as general-purpose file hosting or a CDN for content unrelated to your projects;
  • harass, threaten or harm others, or collect their personal data without a lawful basis;
  • probe, scan or test the security of the service, except as our security policy allows (report vulnerabilities to hello@nohead.io), or get around its limits, rate limits or access controls;
  • overload the service, or resell it as-is without an agreement with us.

To report content that breaks these rules, email hello@nohead.io with the URL and what is wrong with it.

5. Suspension and removal

We may remove content, or suspend an account, organization or API key, if it breaks these terms or the law, puts the service or other customers at risk, or we are required to. Where we can, we tell you why and give you a chance to fix it first; we may act without notice for serious abuse or when the law requires it. Write to hello@nohead.io if you think we got it wrong.

6. Plans and limits

Each organization has a plan with limits on projects, records, members, storage, API requests and how long history is kept, as shown on the pricing page. Some limits refuse requests over them; others only warn. We may change limits and prices; changes to a paid plan you have take effect at your next renewal, with at least 30 days’ notice.

Once paid plans are available, payments are handled by Stripe, which sells the subscription to you as merchant of record and handles the payment, tax and invoices. Subscriptions renew until cancelled; cancelling takes effect at the end of the period, and moving to a smaller plan deletes nothing. Fees are not refundable except where the law requires it.

7. Ending the agreement

You can stop using Nohead at any time, and owners can delete their organizations. Deleted organizations and projects can be restored for 30 days and are then permanently deleted, as described in the privacy policy.

We may end the agreement with 30 days’ notice by email, or immediately for a serious breach of these terms. If we end it for a reason other than your breach, you keep access to export your content during the notice period.

8. No warranty

The service is provided “as is” and “as available”. To the extent the law allows, we make no promises that it will be uninterrupted, error-free or fit for a particular purpose. Keep your own copies of content you cannot afford to lose; an export is one command away.

9. Liability

To the extent the law allows, neither of us is liable for indirect or consequential losses, or for lost profits, revenue or data, and our total liability under these terms is limited to the amount you paid us in the 12 months before the claim, or USD 100 if you paid nothing.

These limits do not apply to liability that cannot be limited by law, such as for death or personal injury caused by negligence, fraud, or damage caused intentionally or by gross negligence.

You will cover our reasonable costs from claims by others that arise from your content or your breach of these terms.

10. Changes to these terms

We may update these terms. We announce material changes by email at least 30 days before they take effect, and the date at the top of this page always shows the latest version. If you keep using Nohead after a change takes effect, the new terms apply; if you disagree, stop using it and delete your organizations.

11. Governing law

These terms are governed by the law of Denmark, and the courts of Denmark decide disputes about them. If you are a consumer, this does not take away protections the law of your country gives you.

If part of these terms cannot be enforced, the rest still applies. Not enforcing a right is not a waiver of it.
